These Terms of Service ("Terms") govern your access to and use of the NinjaDoc platform, website, and services (collectively, the "Service") operated by NinjaDoc ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Service Description

NinjaDoc is a platform that enables users to create, publish, and manage interactive document experiences. The Service includes features for building experiences with forms and interactive elements, collecting submissions from end users, generating AI-powered content and narratives, managing workspaces and team collaboration, and publishing experiences via shareable links.

The Service is provided on a subscription basis with multiple tiers, each offering different usage limits and features as described on our Pricing page.

2. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and a password. You are responsible for:

Maintaining the confidentiality of your account credentials.
All activities that occur under your account.
Notifying us immediately of any unauthorized use of your account.
Ensuring that your account information remains accurate and up-to-date.

You must be at least 16 years of age to create an account. By registering, you represent that you meet this age requirement.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Spam or unsolicited communications: Use the Service to send spam, unsolicited messages, or bulk communications to individuals who have not consented to receive them.
Illegal content: Create, publish, or distribute experiences or content that is illegal, defamatory, obscene, fraudulent, or that violates any applicable law or regulation.
Abuse and harassment: Use the Service to harass, threaten, intimidate, or harm any person or entity.
System abuse: Attempt to gain unauthorized access to any part of the Service, interfere with the proper functioning of the Service, or circumvent rate limits or usage restrictions.
Data mining: Use automated tools, bots, scrapers, or similar means to access or collect data from the Service without our prior written consent.
Impersonation: Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Malicious content: Upload or distribute viruses, malware, or any other harmful code through the Service.

We reserve the right to investigate and take appropriate action against any violations of this section, including suspending or terminating your account and reporting illegal activity to law enforcement.

4. Billing and Cancellation

4.1 Subscriptions

Paid plans are billed on a recurring basis (monthly or yearly) as selected during subscription. All prices are listed in US Dollars (USD). By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

4.2 Free Trial

Paid plans may include a free trial period. At the end of the trial period, your payment method will be charged unless you cancel before the trial expires.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. After that, your account will revert to the Free plan. We do not provide prorated refunds for partial billing periods.

4.4 Price Changes

We may change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle. We will provide at least 30 days' notice before any price increase.

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you create, upload, or publish through the Service ("Your Content"). By using the Service, you grant NinjaDoc a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

5.2 NinjaDoc Platform

The Service, including its design, code, features, documentation, branding, logos, and all related intellectual property, is and remains the exclusive property of NinjaDoc. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

5.3 Feedback

If you provide us with suggestions, ideas, or feedback regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINJADOC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms or our Acceptable Use policy.
Non-payment of subscription fees.
Extended periods of inactivity.
Requests by law enforcement or government agencies.
Discontinuation or material modification of the Service.

Upon termination, your right to use the Service immediately ceases. We will make reasonable efforts to allow you to export your data before deletion, unless the termination is due to illegal activity or a violation of these Terms. Data associated with terminated accounts will be deleted within 30 days of termination.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware. You agree to waive any right to a jury trial or to participate in a class action.

10. Indemnification

You agree to indemnify, defend, and hold harmless NinjaDoc, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
